PUBLIC MEETING NOTICE The Pennsylvania Higher Educational Facilities Authority (the "Authority") will hold a public hearing on January 13, 2015, at 8:30 a.m. prevailing time, at the offices of the Authority located on the Second Floor at 1035 Mumma Road, Wormleysburg, PA, 17043, to discuss the issuance of tax-exempt revenue bonds in one or more series (the "Bonds") for the following project (the "Project"): A. Initial Owner: Thomas Jefferson University ("TJU"). B. Principal Amount of Bonds: not to exceed $790,000,000 (exclusive of any original issue discount or premium). C. Description of the Project to be Financed: (i) the current refunding of the Authority's outstanding Revenue Bonds (Thomas Jefferson University), Series of 2008, currently outstanding in the aggregate principal amount of $67,260,000 (the "Prior Bonds"); (ii) the current refunding of the Authority's Revenue Notes (Thomas Jefferson University/TJUH System) Series 2014A, currently outstanding in the aggregate principal amount of $328,395,000, and Revenue Notes (Thomas Jefferson University/ TJUH System) Series 2014B, currently outstanding in the aggregate principal amount of $3,915,000 (collectively, the "Notes"); (iii) the payment of (or the reimbursement to TJU, TJUH System (the "System"), Thomas Jefferson University Hospitals, Inc. (the "Hospital"), Jefferson University Physicians, and TJU's other affiliates for) (a) the costs of the acquisition, construction and development of various capital assets, (b) the making of other capital improvements in various research, education and clinical care programs of TJU and its affiliates and (c) the acquisition of real property currently planned to be used and developed in furtherance of the academic health care, education, research, clinical care and related missions of TJU and its affiliates, including the upgrade and renovation of the labor and delivery facilities at TJU, replacement of beds and iBed upgrade in the ICUs at Thomas Jefferson University Hospital, Jefferson Hospital for Neuroscience and Methodist Hospital, expansion of the ambulatory program to new buildings in Rittenhouse Square and Northeast Philadelphia, kitchen renovations at Methodist Hospital, and replacement of existing technology at Methodist Hospital; (iv) the payment of all or a portion of the termination costs of certain interest rate hedging agreements previously entered into for the benefit of TJU, the System and the Hospital, and the entry by TJU into other interest rate hedging arrangements and/or the amendment of existing interest rate hedging arrangements; (v) the funding of any necessary reserves for the bonds of interest; and (vi) the payment of certain costs and expenses incident to the issuance of the Bonds. The Prior Bonds were issued to finance and refinance the acquisition, renovation and improvement of a portion TJU's existing educational facilities. The Notes were issued for the benefit of TJU, the System and the Hospital to finance certain costs of the acquisition by TJU of a membership interest in the System related to the payment or defeasance in whole of certain outstanding bonds previously issued for the benefit of Jefferson Health System. D. Location of Project: The facilities of, or to be acquired by, TJU, include: those which are located on 1) its main campus in Philadelphia, Pennsylvania, which extends along Chestnut Street in the north to 8th Street in the east to Locust Street in the south to 12th Street to the west, and currently includes: Jefferson Hospital for the Neurosciences, located at 9th and Walnut Street; the Scott Building, located at 1020 Walnut Street; the Hamilton Building, located on the southwest corner of 11th and Locust Streets; the green space that encompasses the remaining portion of the block bonded between 10th and 11th and Locust Streets and south of the Scott, Martin and Orlowitz buildings, which are located on the north side of the block facing Walnut Street; Medical College located at 1025 Walnut Street; Curtis Building located at 1015 Walnut Street; Western Union Building located at 1103 Locust Street; Martin Building located at 201 South 11th Street; Jefferson Alumni Hall located at 1020 Locust Street; Orlowitz Residence located at 1000 Walnut Street; Bulk 02 Facility located behind Barringer Building; Barringer Residence located at 950 Walnut Street; Edison Building located at 130 South 9th Street; TJU Parking Garage located at 221 South 11th Street; Valet Parking located at 10th & Chestnut Streets; 118 South 11th Street; MOB (Medical Office Building) located at 1100-04 Walnut Street; 137 South 10th Street; 129 South 10th Street; 929 Walnut Street; 927 Walnut Street; Bluemle Life Sciences Building located at 233 South 10th Street; COB (Clinical Office Building) located at 909 Walnut Street; 925 Chestnut Street; 900-908 Chestnut Street; Central Billing Office located at 615 Chestnut Street; 25 South 9th Street; 833 Chestnut East; Sheridan Building located at 125 South 9th Street; Jefferson Building located at 1015 Chestnut Street; Jefferson Bookstore located at 1009 Chestnut Street; Girard Building located at 10 South 11th Street; Benjamin Franklin House located at 834 Chestnut Street; Walnut Towers Building located at 800 Walnut Street; 1201 Chestnut Street; Bonatso Property located at 131 South 10th Street; Nevil Building located at 919 Walnut Street; Accounting and Systems located at 913 Walnut Street; Gibbon Building located at 111 S. 11th Street; Thompson Building located at 1020 Samson Street, Foerderer Pavilion Building located at 117 South 11th Street, Main Building located at 132 South 10th Street; 2) Methodist Hospital Division bounded by Broad Street to the west, 13th Street to the east, Wolf Street to the north and Ritner Street to the south; 3) additional outpatient and other locations including 3 Crescent Drive, 1726 South Broad Street; Methadone Clinic located at 2035 Washington Avenue; Jefferson Medical Care located at 2028 Spring Garden Street; Jefferson Warehouse located at 901-25 North Delaware Avenue; Jefferson Medical Practice located at 2603 South Broad Street; 22nd Street and Spring Garden Street; 2607 Rhawn Street; 1108 Chestnut Street, 443 Laurel Oak Road, Voorhees, NJ, and 789 Lancaster Avenue, Villanova; and Most Blessed Sacrament located at 5628 Chester Avenue, all of which, including the facilities for the Prior Bonds, are located in Philadelphia, Pennsylvania. At the public hearing, any and all persons in attendance will be afforded an opportunity to comment on the proposed project and the issuance by the Authority of its Bonds therefore.
