NOTICE OF MEETING AND PUBLIC HEARING
NOTICE is hereby given to all interested persons that the Philadelphia Authority for Industrial Development ("PAID") will hold a public hearing at 10 a.m. on September 30, 2013 at the offices of the Philadelphia Industrial Development Corporation, located at 1500 Market Street, 2600 Centre Square West, Philadelphia, Pennsylvania 19102-2126, to discuss the issuance of several series of tax-exempt and/or taxable revenue notes or bonds (collectively, the "Bonds") by the West Norriton Township Industrial Development Authority (the "WNTIDA") and the Limerick Township Industrial Development Authority (the "LTIDA") for the following project (collectively, the "Project"):
A. Names and Addresses of Owners and Operators of Financed and Refinanced Facilities: NHS Human Services, Inc., NHS Philadelphia, NHS Children's Reach, NHS Woodhaven, NHS Chester County, NHS Montgomery County, Northwestern Properties Company, Northwestern Intrasystems, Inc., and The Association for Independent Growth, Inc., all located at 620 Germantown Pike, Lafayette Hill, PA 19444 (collectively, the "NHS Companies")
B. Total cost of the Project and Maximum Aggregate Principal Amount of Bonds or Notes to be issued: Not to exceed $18,000,000
C. Locations of the Project: See addresses listed in Description of the Project below
D. Description of the Project: The proceeds of the debt to be issued will be used to provide funds to finance, refinance and/or reimburse a project consisting of all or any of the following: (1) refunding all or any portion of the following outstanding bonds or notes issued for the benefit of one or more of the NHS Companies: (a) Montgomery County Industrial Development Authority Revenue Bonds, 2003 Series (Northwestern Human Services, Inc. Project) (the "2003 Bonds"); (b) Narberth Borough Industrial Development Authority Revenue Note (Northwestern Human Services, Inc. Project), Series of 2004 (the "2004 Note"); (c) Cheltenham Township Industrial Development Authority Floating Rate Term Note (The Association for Independent Growth), Series 2006-A (the "2006 Note"); and (d) certain taxable indebtedness of The Association for Independent Growth, Inc. (the "Taxable Debt"); (2) funding of working capital and trade payables and the payment of capital expenses on a current basis of the NHS Companies; (3) funding, if applicable, necessary reserves for the debt; and (4) financing contingencies and paying all or any portion of the costs and expenses incident to the issuance of the debt.
The proceeds of the 2003 Bonds were used by one or more of the NHS Companies to finance the following: (A) the funding of working capital and trade payables and the payment of capital expenses on a current basis of Northwestern Human Services, Inc. (now known as NHS Human Services, Inc.), Northwestern Human Services of Philadelphia (now known as NHS Philadelphia), Parkside Human Services and Associates, Northwestern-Woodhaven, Inc. (now known as NHS Woodhaven), Lillian Holliday Residence Corporation, Northwestern Human Services of Pennsylvania (now known as NHS Pennsylvania), Northwestern Human Services of Chester County (now known as NHS Chester County), Edgewater Psychiatric Center, Northwestern Human Services of Montgomery County (now known as NHS Montgomery County), Cascade Corporation, Northwestern Human Services of Delaware County (now known as NHS Delaware County), Northwestern Human Services of Susquehanna Valley, Northwestern Human Services of Bucks County (now known as NHS Bucks County), Northwestern Enterprises Inc., and Northwestern Allied Health Services Inc. (collectively, the "2003 Affiliated Companies"); (B) refunding certain existing indebtedness of NHS Human Services, Inc., which funded working capital and trade payables and the payment of capital expenses on a current basis of the 2003 Affiliated Companies; and (C) the payment of a portion of the costs of issuance of the 2003 Bonds.

E. Nature of Services of Owners: The NHS Companies and their affiliates provide a comprehensive range of community-based behavioral health care services.
At the public hearing, any and all persons in attendance will be afforded the opportunity to comment on the proposed Project and the proposed issuance of the Bonds. A copy of the Single Application for Assistance to be filed with the Pennsylvania Department of Community and Economic Development is available for public inspection at the offices of PAID.
This notice is published by, and the public hearing is being held by, and on behalf of PAID, WNTIDA and LTIDA in accordance with the Public Noticing Requirement of Section 147(f) of the Internal Revenue Code of 1986, as amended.
