NOTICE OF FILING AND APPLICATION Notice is hereby given that on December 24, 2014, BB&T Corporation, with its principal place of business located at 9 East Main Street, Winston-Salem, North Carolina, filed with the Pennsylvania Department of Banking and Securities, pursuant to the provisions of Sections 112 and 115 of the Banking Code of 1965, as amended, an application for approval to acquire through merger: Susquehanna Bancshares, Inc. of Lititz, Lancaster County, Pennsylvania, and thereby indirectly acquire 100% of Susquehanna Bank of Lititz, Lancaster County, Pennsylvania and of Semper Trust Company of King of Prussia, Montgomery County, Pennsylvania and of of Lancaster, Lancaster County, Pennsylvania. Susquehanna Bancshares, Inc. will merge with and into BB&T Corporation, with BB&T Corporation as the surviving entity. Immediately after the proposed transaction, Susquehanna Bank will merge with and into Branch Banking and Trust Company ("Branch Bank") of Winston-Salem, Forsyth County, North Carolina, a wholly-owned subsidiary of BB&T Corporation, with Branch Bank as the surviving entity. Immediately or soon thereafter, Semper Trust Company and Susquehanna Trust & Investment Company ("STIC") will merge with and into Branch Bank, with Branch Bank as the surviving entity. Currently, Semper Trust Company is a Pennsylvania-chartered non-depository trust company and an indirect, wholly owned subsidiary of Susquehanna Bancshares, Inc., and STIC is a Pennsylvania-chartered non-depository trust company and a direct wholly owned subsidiary of Susquehanna Bank. All interested persons may file comments regarding this application, in writing, with the Pennsylvania Department of Banking and Securities, Corporate Applications Division, 17 North Second Street, Suite 1300, Harrisburg, PA 17101-2290. In order to be considered, comments regarding this application must be received by the Department of Banking and Securities no later than thirty (30) days after the date that notice of the filing of this application is published in the Pennsylvania Bulletin. Publication in the Pennsylvania Bulletin may or may not appear contemporaneously with this notice.
