Notice of Bank and Trust Company Mergers
Notice is hereby given that Branch Banking and Trust Company ("BB&T"), located at 200 West Second Street, Winston-Salem, North Carolina, has made application to the Federal Deposit Insurance Corporation ("FDIC") for its written consent to merge with Susquehanna Bank, located at 9 East Main Street, Lititz, Pennsylvania, with BB&T as the surviving institution (the "Proposed Bank Merger"). BB&T would continue as a North Carolina-chartered state nonmember bank.
It is contemplated that all offices of Susquehanna Bank will continue to be operated by BB&T as branches on consummation of the proposed merger. The main office of BB&T would remain the main office location of the surviving bank and the main office location of Susquehanna Bank in Lititz, Pennsylvania, would become a branch location. BB&T is evaluating what need, if any, there is to consolidate or close branches (whether BB&T or Susquehanna Bank branches) in geographies where branches overlap or for other business reasons. It is likely BB&T will not make decisions regarding bank branches until after consummation of the Transaction. When BB&T identifies branches that will be consolidated or closed, BB&T will follow the appropriate FDIC procedures for such actions.
Notice also is hereby given that BB&T has made application to the FDIC for its written consent to merge Susquehanna Trust & Investment Company, located at 1570 Manheim Pike, Lancaster, Pennsylvania, an uninsured, Pennsylvania-chartered non-depository trust company subsidiary of Susquehanna Bank, and Semper Trust Company, located at 150 South Warner Road, Suite 460, King of Prussia, Pennsylvania, an uninsured, Pennsylvania-chartered non-depository trust company subsidiary of Susquehanna Bank's parent holding company, Susquehanna Bancshares, Inc., with BB&T, with BB&T as the surviving institution (the "Proposed Trust Company Mergers"). The Proposed Trust Company Mergers would occur immediately or soon after consummation of the Proposed Bank Merger and the proposed merger of SBI with BB&T's parent holding company, BB&T Corporation.
This notice is published pursuant to Section 18(c) of the Federal Deposit Insurance Act, 12 U.S.C.§ 1828(c), and section 303.65 of the regulations of the Federal Deposit Insurance Corporation. 12 C.F.R. 303.65. Any person wishing to comment on this application may file his or her comments in writing with the Regional Director of the Federal Deposit Insurance Corporation at its Regional Office located at 10 Tenth Street, NE, Suite 800, Atlanta, GA 30309-3906, not later than January 28, 2015. The nonconfidential portions of the application are on file at the appropriate FDIC office and are available for public inspection during regular business hours. Photocopies of the nonconfidential portion of the application file will be made available upon request.
